Se presenta un análisis, dentro del marco de la teoría de conflicto, que modela la elección de la estructura de propiedad corporativa como resultado de una lucha de poder entre el dueño original de una empresa y posibles accionistas. El modelo teórico muestra que, cuando el sistema que protege los derechos de propiedad es ineficiente, la elección de mantener la empresa en manos de la familia representa la estrategia que reporta al dueño el mayor valor al cotizar en el mercado accionario.
